The Project:
Background
This Sri Lankan based association is a private sector national umbrella organisation of major public and private sector business support service providers for micro-, small-, and medium-scale enterprises (MSME) and is the main Business Development Services (BDS) facilitator in Sri Lanka.
Established in November 2003, over the last 7 years the association’s program was able to build up the partnership with 65 business support service organizations and almost 300 training professionals directly employed by their partner organizations who deliver training to the micro and small entrepreneurs.
The association needs to develop frameworks to reformulate the organizations’ structural procedures and process that will allow its smooth functioning, and ensure the better performance as a BDS facilitator.
The volunteer legal expert is expected to work with the association for assessing its existing organizational and constitutional structures in a legal perspective, identify lapses and propose reformative guidelines with advice and guidance for implementation.
The vision of the association is to create a competitive market for BDS.
The mission of the Association is to facilitate the establishment of a dynamic network of BDS suppliers that provide a wide range of high quality products and services to MSMEs of different levels.
Purpose of Placement
The purpose of this placement is:
“to restructure the current organizational and constitutional structures and propose guidelines for the association to adopt a corporate profile and become a pioneer actor as a BDS facilitator, and to deliver high standard, cost effective and impact oriented services for the SME sector”.
An initial audit of existing systems would be necessary.
Duties and Responsibilities
1. Study the existing organizational and constitutional frameworks of the association in a legal perspective, and identify the lapses and means of restructuring those frameworks.
2. Identify the opportunities, challenges, strengths, and weaknesses within the existing organizational framework, for the association to evolve as a corporate actor.
3. Recommend appropriate reforms to overcome such weaknesses and challenges to achieve the purpose of adopting a corporate profile.
4. Conducting an assessment of operational procedures and transactions of the association with Partner organizations and trainers in a legal perspective.
5. Draft proper criteria for selection of contracting parties when outsourcing contract to deliver services on behalf of the association.
6. Designing proper formats of contract agreements for contracting parties, to be adopted when outsourcing contracts to deliver services on behalf of the association.
7. Propose suggestions and necessary amendments for those operational procedures and transactions.
8. Document necessary policies/procedures/process/methods and make them available in manual as a guide to the association
9. Train necessary staff members and make aware the other stakeholders on new structural changes and necessary implementations.

You:
Skills and Experience Required
- all legal training completed including qualification experience
The volunteer should have:
Experience in conducting assessments on operational structures of organizations in a legal perspective.
Experience in drafting legal frameworks and contracts.
Analytical skills with policy and structural reformations in an organization.
Ability to write reports and procedure manuals
They will also be:
Self motivated with the ability to work independently
Professional, flexible, resourceful, adaptable, creative and culturally sensitive
